5.3 Monthly packages may be payable in advance of the relevant service period.
5.4 NOLQEN may suspend work where an invoice remains unpaid after its due date, subject to any applicable legal requirements.
5.5 Suspension of services due to non-payment does not remove the Client's obligation to pay outstanding amounts.
5.6 The Client is responsible for any applicable taxes or charges arising from its own circumstances.
6. Changes to Services
6.1 The Client may request changes to the agreed services.
6.2 NOLQEN will confirm whether the requested work falls within the existing agreement or requires an additional fee.

-
Where necessary to provide the agreed services;

9.2 Where NOLQEN processes personal data on behalf of the Client as a processor, the Client and NOLQEN will enter into appropriate data-processing terms forming part of the Client Services Agreement.

10.1 NOLQEN will take reasonable technical and organisational measures appropriate to the nature of the information being processed.
10.2 NOLQEN will take reasonable steps to protect Client information against unauthorised access, accidental loss, destruction or disclosure.
10.3 The Client must notify NOLQEN promptly if it becomes aware of any suspected compromise of information, credentials or systems relevant to the services.
10.4 Where NOLQEN becomes aware of a personal data breach affecting Client data, NOLQEN will notify the Client without undue delay and provide reasonable assistance as required by applicable data protection law.
11. Third-Party Services and Software
11.1 NOLQEN may use third-party software and services to provide the services, such as email, cloud storage, document management, communication, accounting or scheduling platforms.
11.2 Where a third party processes Client personal data on NOLQEN's behalf, NOLQEN will comply with the applicable requirements relating to sub-processors.
11.3 NOLQEN is not responsible for outages, failures or security incidents caused solely by third-party services, although NOLQEN will take reasonable steps to manage their impact.
12. Intellectual Property
12.1 Unless otherwise agreed, documents and work specifically created for the Client as part of the paid services will belong to the Client once the applicable fees have been paid in full.

14.1 Where NOLQEN requires access to a Client system, the Client should provide access using appropriate secure methods wherever reasonably possible.
14.2 The Client should not provide passwords unnecessarily where alternative access methods are available.

14.4 Client access will be removed or returned where appropriate when the relevant services end.
15. Cancellation and Termination
15.1 Either party may terminate an ongoing monthly service arrangement by providing 30 days' written notice, unless a different notice period has been agreed in the Client Services Agreement.
15.2 Either party may terminate the agreement immediately where the other party commits a serious or material breach and, where the breach can be remedied, fails to remedy it within a reasonable period after being notified.
15.3 NOLQEN may suspend or terminate services where:
-
Fees remain materially overdue;
-
The Client requests unlawful activity;
-
The Client engages in threatening, abusive or inappropriate behaviour;
-
Continuing the services would create a material security or data-protection risk; or
-
The requested services fall outside NOLQEN's lawful or reasonable capabilities.
15.4 Termination does not affect rights or obligations that arose before termination.
16. Effect of Termination
16.1 The Client remains responsible for fees properly incurred up to the termination date.
16.2 Subject to applicable law and the Client's instructions, NOLQEN will return or securely delete Client information in accordance with the applicable data-processing terms.

17. Liability
17.1 NOLQEN will provide the services with reasonable care and skill.
17.2 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
17.3 Subject to applicable law, NOLQEN will not be responsible for losses arising solely from:
-
Information or instructions supplied incorrectly by the Client;
-
Delays caused by the Client;
-
Third-party systems or services outside NOLQEN's reasonable control;
-
The Client's failure to review or approve work where approval was required; or

18.1 NOLQEN will not be responsible for failure or delay caused by circumstances reasonably beyond its control.
18.2 Such circumstances may include serious illness, power or internet outages, cyber incidents, natural disasters, government action, failures of third-party service providers or other events outside reasonable control.

20.2 Changes will not retrospectively alter services already paid for or materially change an existing agreed service period without reasonable notice.
20.3 Where an existing Client's agreement contains specific terms that conflict with these Terms, the specific written agreement will take precedence to the extent of the conflict.
21. No Employment or Partnership
21.1 The relationship between NOLQEN and the Client is one of independent service provider and Client.
21.2 Nothing in these Terms creates a partnership, joint venture, employment relationship or agency relationship between NOLQEN and the Client unless expressly agreed in writing.
22. Assignment
22.1 The Client may not transfer or assign its rights or obligations under the agreement without NOLQEN's prior written consent, except where permitted by law.
22.2 NOLQEN will not transfer the Client's personal data to another processor except in accordance with the applicable data-processing terms.
23. Entire Agreement
23.1 These Terms, together with the applicable Client Services Agreement, quotation, package schedule and any agreed data-processing terms, form the agreement between NOLQEN and the Client in relation to the relevant services.
23.2 The Client acknowledges that it has not relied on any statement not expressly included in the agreement, subject always to rights that cannot lawfully be excluded.
24. Severability
24.1 If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified or removed to the minimum extent necessary, and the remaining provisions will continue to apply.
